First NOTICE OF ANNUAL GENERAL MEMBERS’ MEETING (AGMM)
The CHS Alumni Foundation will hold its Annual General Members’ Meeting (AGMM) on March 7, 2026, as per the amended By-laws. This meeting will be conducted in a hybrid format, with the Board of Trustees attending in-person and active members participating remotely via Zoom.
The main agenda item is the election of eight (8) Trustees for a term of three years (2026-2029), to succeed those whose terms have expired. Nominations are currently being solicited from all high school and college graduate batches through various communication platforms.
According to the Amended By-laws, approved by the SEC for implementation on February 29, 2024, a Trustee’s term is for three years, continuing until a successor is elected and qualified. A Trustee may be elected for up to two consecutive terms. After the expiration of the final term or resignation, the individual may only be eligible for re-election as Trustee after a three-year gap. Based on this rule, the Trustees elected on March 2024 represent the first group governed by these provisions.
The current Board of Trustees will be responsible for selecting the new Trustees. A quorum of 50% plus 1 of the incumbent trustees and active members is required for a valid AGMM, which can be achieved through in-person attendance, participation via Zoom. To make it easier for active members, proxy forms are being sent to you. These forms can be submitted either in hard copy or electronically (via email, attachment, screenshot, or photo) to your class representatives or directly to the Corporate Secretary at [email protected] . Please submit your proxy form on or before February 20, 2026.”
On the basis of the nominations made, the Board will determine the nominees who qualified. The names of the qualified nominees will appear in the final notice to be given 21 days before the AGMM.
At the scheduled 2026 CHSAF AGMM, an Organizational Board Meeting will be convened, to elect the CHSAF officers for a one-year term, but may be re-elected for as many one year terms, successively or not, provided that she is and remains trustee during her term as officer.

Definition of Terms:
1. Active members: Those who have paid their 2025 Annual membership dues.
2. Principals: Active members who are eligible to attend but cannot be present at the AGMM on Saturday, March 7, 2026 starting at 9:00 a.m. and therefore have given their signed proxy form personally or electronically through email, authorizing another active member as proxy-holder to represent them on their behalf.
3. Proxy – holder: An active member legally authorized by the principals to represent them without being physically present at the annual membership meeting, and therefore be counted as part of the quorum.
4. Alternate proxy-holder: An active member who is authorized on behalf of the principals of another proxy-holder unable to do so or is absent and be counted as part of the quorum Further details regarding the AGMM procedures will be provided soon. Thank you.
